BackSeat is a technology platform designed to support transportation operations, communication, trip matching, automation tools, and AI-powered workflows.

BackSeat is not a transportation provider, carrier, employer of drivers, or a party to agreements between users.

By using the platform, the user fully agrees to these Terms.

The platform may provide, among other things:

• Trip, driver, vehicle, and schedule management
• AI operational assistant
• Trip matching and optimization
• Messaging and notifications
• Operational insights and analytics
• Business management tools
• Payment or billing-related services (now or in the future)

BackSeat may modify, add, or remove features at any time.

By using the platform, the user confirms that:

• They are legally authorized to use the platform
• They hold all required licenses, permits, and insurance
• They comply with all applicable laws
• All information provided is accurate and up to date

The user is solely responsible for their business operations.

Users are fully and solely responsible for:

• Executing trips
• Compliance with transportation and safety laws
• Managing drivers, subcontractors, and employees
• Collecting payments
• Communication with customers
• Verifying AI-generated recommendations and information

BackSeat bears no responsibility for transportation services, delays, disputes, accidents, damages, or user conduct.

The platform may suggest or automatically generate trip matches using algorithms and AI technologies.

All matches are recommendations only.

BackSeat does not guarantee:

• Profitability
• Availability
• Accuracy
• Operational compatibility
• Successful execution

Users are responsible for reviewing and approving all matches before use.

The platform may use AI technologies for:

• Data analysis
• Automation
• Operational assistance
• Forecasting
• Matching
• Insights and optimization

Users acknowledge that:

• AI-generated outputs may contain inaccuracies, omissions, or errors
• Users remain solely responsible for verifying all information before relying on it
• BackSeat shall not be liable for decisions made based on AI-generated outputs

Users acknowledge that paid plans may include recurring billing according to the selected subscription plan.

Charges will be automatically processed using the payment method provided by the user until the subscription is canceled in accordance with the cancellation terms.

Users authorize BackSeat and/or its payment providers to securely store payment methods for future charges.

BackSeat reserves the right to update pricing, subscription plans, fees, and payment terms at any time upon reasonable notice.

In the event of:

• Failed payments
• Charge declines
• Cancellation of payment methods
• Outstanding balances

BackSeat may:

• Restrict platform access
• Suspend services
• Freeze accounts
• Terminate access

Until payment is resolved.

Unless otherwise required by applicable law, payments are non-refundable.

Subscription cancellations shall take effect at the end of the current billing cycle unless stated otherwise.

Checking the approval box during registration constitutes a legally binding electronic acceptance of the Terms of Service and Privacy Policy.

Users agree not to bypass the platform in relation to any connection, transaction, trip, or business relationship initiated through BackSeat.

This includes:

• Direct communication outside the system
• Repeated off-platform transactions
• Avoiding platform commissions or fees

Violation may result in:

• Account suspension
• Financial penalties
• Legal action

Users grant BackSeat the right to use data collected through platform usage for:

• Operating the platform
• Improving services
• Product development
• AI model training and improvement
• Statistical analysis
• Research
• Operational optimization

BackSeat may use anonymized, aggregated, or non-personally identifiable data for commercial, analytical, research, and technological purposes.

All rights related to the platform are exclusively owned by BackSeat, including:

• Software and code
• Algorithms
• AI systems
• Databases
• Branding
• Designs
• Content
• Trademarks

Users may not copy, distribute, reproduce, reverse engineer, or commercially use any part of the platform without prior written consent.

BackSeat implements reasonable security measures to protect information.

However, no internet-based system can be fully secure, and users acknowledge the inherent risks of online services.

BackSeat may use third-party providers for:

• Cloud hosting
• AI services
• Communication tools
• Analytics
• Payment processing
• Infrastructure services

The platform is provided on an "As-Is" and "As Available" basis.

BackSeat does not guarantee uninterrupted operation or error-free performance.

The platform may experience:

• Downtime
• Bugs
• Maintenance
• Interruptions
• Data loss
• Technical failures

BackSeat shall not be liable for:

• Direct or indirect damages
• Financial losses
• Loss of profits
• Operational failures
• Data loss
• Disputes between users

In any case, BackSeat's total liability shall not exceed the amount actually paid by the user to BackSeat during the 12 months preceding the relevant event.

BackSeat reserves the right to:

• Suspend accounts
• Restrict access
• Remove users
• Terminate services

At its sole discretion and without prior notice.

BackSeat may update:

• Platform features
• Pricing
• Services
• Policies
• These Terms

Continued use of the platform constitutes acceptance of the updated Terms.

These Terms shall be governed exclusively by the laws of the State of Israel.

Exclusive jurisdiction shall reside in the competent courts of Tel Aviv–Yafo, Israel.
